Welcome to Stabull.Finance (“Stabull,” “we,” “us,” or “our”), a decentralized application (DApp) operated by Stabull Labs LLC, a company incorporated in the Special Economic Zone of Prospera, Honduras. By accessing or using the Stabull.Finance website, software, or services (collectively, the “Platform”), you (“User,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must not use the Platform.

1. Overview of the Platform

Stabull.Finance is a decentralized software platform that enables Users to:

  • Connect third-party cryptocurrency wallets to swap stablecoins (e.g., USDC, EUR, NZ, BRZ) across supported blockchain networks, including Ethereum, Polygon, and Base, with additional blockchain integrations planned.
  • Add liquidity to pools or vaults to earn annual percentage yield (APY) as determined by the Platform’s protocols.

The Platform operates as non-custodial software and does not act as a counterparty to any transactions or trades performed by Users. All transactions are executed directly on the blockchain through smart contracts.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Have the legal capacity to enter into these Terms.
  • Not be located in, or a resident of, any jurisdiction where access to or use of the Platform is prohibited by applicable law or regulation.
  • Not be subject to sanctions or listed on any restricted party list, including but not limited to those maintained by the United States, European Union, or United Nations.

By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. User Responsibilities

3.1 Third-Party Wallet Usage

You are solely responsible for the security, management, and control of your third-party cryptocurrency wallet(s) used to interact with the Platform.

Stabull.Finance does not store, control, or have access to your private keys, seed phrases, or wallet credentials. Loss of access to your wallet or its credentials may result in permanent loss of funds or assets, for which Stabull Labs LLC will not be liable.

3.2 Compliance with Laws

You are responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and tax obligations in your jurisdiction, including those related to cryptocurrency transactions and reporting.

3.3 User Conduct

You agree not to:

  • Use the Platform for any unlawful, fraudulent, or malicious purpose.
  • Attempt to hack, reverse-engineer, or interfere with the Platform’s smart contracts, code, or operations.
  • Use the Platform to engage in money laundering, terrorist financing, or other illegal activities.
  • Misrepresent your identity or provide false information to the Platform.

3.4 Taxes

You are solely responsible for determining, reporting, and paying any applicable taxes, duties, or other assessments arising from your use of the Platform.

4. Risks and Disclaimers

4.1 General Risks

Use of the Platform involves significant risks, including but not limited to:

  • Volatility of cryptocurrency and stablecoin prices.
  • Technical vulnerabilities or failures in the underlying blockchain networks (e.g., Ethereum, Polygon, Base).
  • Potential hacks, exploits, or vulnerabilities in third-party wallets or smart contracts.
  • Regulatory changes impacting the use of cryptocurrencies or DApps.
  • Impermanent loss or financial losses associated with providing liquidity to pools or vaults.

4.2 No Liability for Losses

Stabull Labs LLC shall not be liable for:

  • Any losses resulting from user error, including incorrect transaction inputs or wallet mismanagement.
  • Failures, hacks, or vulnerabilities in any blockchain network integrated with the Platform.
  • Hacks, security breaches, or loss of funds in third-party wallets used to access the Platform.
  • Trading losses, impermanent loss, or other financial losses incurred through the use of the Platform.
  • Any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.

4.3 No Counterparty Role

Stabull.Finance is a software platform and does not act as a counterparty, intermediary, or custodian in any transactions or trades facilitated through the Platform. All transactions are executed directly between Users and the relevant blockchain’s smart contracts.

4.4 No Financial Advice

The Platform does not provide financial, investment, or tax advice. Any information provided on the Platform, including APY estimates or market data, is for informational purposes only and should not be relied upon for investment decisions.

4.5 No Warranties

The Platform is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, availability, reliability, or non-infringement.

4.6 Forks and Upgrades

In the event of a blockchain fork, upgrade, or protocol change, Stabull Labs LLC may decide, at its sole discretion, which version of the network or protocol to support. We are under no obligation to support any fork, upgrade, or derivative protocol.

4.7 Third-Party Services

The Platform may reference, integrate with, or depend on third-party applications, wallets, protocols, or services. These third-party services are outside of our control, and we assume no responsibility for their functionality, security, uptime, or availability. Any downtime, errors, or issues arising from third-party services are not the responsibility of Stabull Labs LLC.

5. Intellectual Property

All content, code, and materials on the Platform, including but not limited to text, graphics, logos, and software, are the property of Stabull Labs LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform without prior written consent from Stabull Labs LLC.

6. Privacy

Your use of the Platform is subject to our Privacy Policy. By using the Platform, you consent to the collection, use, and storage of your information as outlined in the Privacy Policy.

7. Governance Token Disclaimer

The Platform may involve the use of the STABUL Governance Token. Holding or using STABUL does not represent or confer:

  • Any ownership interest, equity, shares, security, or equivalent rights in Stabull Labs LLC or any affiliated entity.
  • Any rights to profits, revenue, or other financial benefits.
  • Any fiduciary relationship, partnership, or joint venture between Users and Stabull Labs LLC.

The STABUL token is intended solely for governance purposes within the Platform’s ecosystem. Stabull Labs LLC makes no representations or warranties regarding the value, liquidity, or transferability of STABUL.

8. Termination

Stabull Labs LLC reserves the right to suspend or terminate your access to the Platform at any time, without notice, for any reason, including but not limited to violation of these Terms or suspected illegal activity.

9. Indemnification

You agree to indemnify, defend, and hold harmless Stabull Labs LLC, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Special Economic Zone of Prospera, Honduras, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in Prospera, Honduras, in accordance with the arbitration rules of the Prospera Arbitration Center. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Limitation of Liability

To the maximum extent permitted by law, Stabull Labs LLC’s total liability for any claims arising from your use of the Platform shall not exceed $100 USD. In no event shall Stabull Labs LLC be liable for any indirect, incidental, special, or consequential damages.

12. Force Majeure

Stabull Labs LLC shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, labor disputes, internet or telecommunications outages, or regulatory actions.

13. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of Stabull Labs LLC to enforce any right or provision shall not constitute a waiver of such right or provision.

14. Amendments

Stabull Labs LLC may update these Terms at any time by posting the revised version on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
